Megan is a Senior Director of the SFC’s Corporate Finance Division. She led the Division’s work on many important listing policy initiatives, including (1) the ongoing work to adopt TCFD- and ISSB-aligned climate-related financial reporting standards for listed corporates in Hong Kong, (2) the proposed specialist tech listing regime, (3) the new listing regimes for companies with weighted voting rights, biotech companies, SPACs and overseas companies, (4) the 2017 reforms to HKEX’s listing decision-making and governance structures, (5) the adoption of the SFC’s “frontloaded” approach towards corporate misconduct; and (6) a multi-year initiative to tackle “shell”-related corporate and market misconduct. Prior to joining the SFC, Megan was an equity partner of Cleary Gottlieb Steen & Hamilton LLP and chief representative of the Beijing office. She was posted to Hong Kong, Beijing, New York, London and Singapore at different stages of her 18-year legal career where she advised global, Mainland and Asian investment banks and financial institutions, technology companies, state-owned enterprises as well as U.S. Fortune 500 companies in IPOs, international capital markets and cross border corporate transactions. Whilst in private practice, Megan was recognized as a leading lawyer in Hong Kong for equity and debt capital markets by Chambers Asia and a leading practitioner for China corporate and equity work in The IFLR 1000 Guide to the World’s Leading Law Firms.
